Terms of Use

Introduction

These Terms of Use (“Terms”) govern your access to and use of services provided by Echo Direct Marketing, LLC dba Resound Partners (“Resound Partners,” “we,” “us,” or “our”). By using our website or services, you agree to these Terms.

Parties

These Terms are between you (the client or prospective client) and Echo Direct Marketing, LLC dba Resound Partners.

Pilot terms

We provide a free 21-day pilot by covering our team’s labor.
You (the client) agree to fund ad spend during the pilot.
We perform best-effort setup, optimization, and reporting during the pilot period.

Exclusivity

By default, our services are non-exclusive; we may serve up to 2–3 clients per vertical per metro.
Every pilot includes a 90-day exclusivity halo (no other pilot in your vertical in that metro).
Paid add-ons are available: ZIP Lock (select ZIP codes) or full-market exclusivity.
First-right of refusal: 5 business days on new opportunities in your territory.
Exclusivity applies only during active/paid periods and is subject to availability.

Payment & renewals

Ongoing services (Resound Growth and other programs) are billed on a monthly or quarterly basis.
Payments are due in advance.
Renewals are automatic unless canceled per the notice requirements in your agreement.

Acceptable use

You agree not to misuse our services, including but not limited to unauthorized access, interference with networks, or violation of applicable laws.

Intellectual property

All content, systems, and deliverables created by Resound Partners remain our intellectual property unless explicitly transferred by agreement.

Termination

Either party may terminate services in accordance with the terms of the agreement. Upon termination, you remain responsible for any outstanding fees.

Disclaimers & liability limits

Services are provided “as is” without warranties of any kind.
To the maximum extent permitted by law, our liability is limited to the fees paid for services in the 3 months preceding any claim.
